Ethical conduct, integrity, and legal compliance aren’t merely policies - they form the cornerstone of our culture of trust. To preserve this culture, everyone must understand our policies and responsibilities and know how to respond when questions arise. We encourage you to read them and consider what is required when doing business with Valeberg.

We ask for your commitment to promptly raise and report suspected ethical or compliance concerns, enabling us to address issues and enforce compliance with Valeberg’s Code and Policies. Anyone – an employee or business partner - can contact the Legal & Corporate Affairs team to make an anonymous report. All reports are treated with discretion and without retaliation. As a global company, our minimum requirement is compliance with legal standards wherever we operate.

Our sugar cane supply is mainly sourced from Brazil, although we also source from other countries. We procurev agri-products generally from Farmers and Producers in Brazil, Canada, Mexico, Peru, and Turkey who can provide an ethical and sustainable audit of their respective production.

We continue to work with our suppliers to trace our sugar to the mill level to understand if it is linked to areas or mills with concerns such as deforestation, water pollution, or worker exploitation. About 70 per cent of the sugar we purchase is traceable to the Cane Grower.

Approximately 70,000 independent farmers supply around 40 per cent of the cane processed by Brazilian sugarcane mills. In 1999, these groups established an innovative payment system to ensure fair and equitable relationships between growers and millers.

This voluntary programme is overseen by Consecana - the Council of Sugarcane, Sugar, and Ethanol Producers in the State of São Paulo. Representing both sugar and ethanol processors (UNICA) and sugarcane growers (ORPLANA), its primary objective is to share risks equitably. The Consecana payment system is based on two fundamental principles:

  1. The price paid to cane producers is proportional to their share of industrial revenue. On average, sugarcane production accounts for 60 per cent of total sugar and ethanol production costs, so growers receive around 60 per cent of the agro-industrial revenue.
  2. The industry pays more for sugarcane with higher sucrose content. The value is based on Total Recoverable Sugar (ATR in Portuguese), which corresponds to the amount of sugar available in the raw material minus manufacturing process losses. Growers’ compensation depends on the prices for sugar and ethanol sold by processors in domestic and foreign markets, making transparency crucial to the Consecana model.

Our sales and procurement teams based in Brazil, Canada, China, Malaysia, and Turkey provide the support needed to track consignments. Valeberg’s Marine Cargo Insurance extends beyond standard goods-in-transit protection. It safeguards against loss or damage of goods transported internationally by road, rail, or sea, and can also cover goods stored and transported within Brazil. We have direct access to risk markets in London to provide appropriate coverage for our customers and their export consignments.

Our dealings with suppliers, customers, and contractors are based solely on sound business decisions and fair practices.

Regardless of custom or general practices, we may not accept any gifts, favours, entertainment, hospitality, or other gratuities - directly or indirectly - of such value that a reasonable person would consider them offered to influence those  conducting business on behalf of the Company. These benefits include, but are not limited to, money, discounts, prizes, tickets, transportation, or any other personal benefit or favour.

If connected with local custom or generally accepted practice, we may accept gifts, favours, entertainment, hospitality, or other gratuities of truly trivial or nominal value from anyone doing or seeking business with us, but only if it would be  evident to a reasonable person that the sole intention is to comply with such custom or practice.

Likewise, we may not offer or give any meaningful gifts, favours, entertainment, hospitality, or other gratuities that would cause or appear to cause the recipient to violate their duty to act in their company’s or affiliated entity’s best interest.  Remember: What is considered trivial in one part of the world might be regarded as material in another. Each situation must be assessed separately.

Under no circumstances may we offer, give, or receive any rebates, kickbacks, or bribes to or from anyone.

Please consult the Legal Department before providing gifts or entertainment to individuals affiliated with or suspected of being affiliated with any government body. We must strictly comply with all export and import laws and regulations. The requirements and controls governing import and export transactions are complex. We must not trade in countries subject to sanctions or embargoes, which prohibit certain business activities in specified countries and with designated individuals and entities.

We may not do business with persons and entities designated as known or suspected terrorists. We must freeze all property and block payment of funds to such individuals and file timely reports of all such actions with governmental agencies.

Some countries have adopted laws and sanctions prohibiting participation in or cooperation with international trade embargoes or sanctions imposed by other countries. Any employee receiving such a request should inform a member of the Legal or Compliance Departments immediately.

Money laundering - the movement of money from illegal sources into legitimate businesses - is a crime. It is also illegal to take money from legitimate sources and use it for unlawful purposes, such as funding terrorist activities.

Our suppliers are instrumental in helping us achieve our goals. We view each supplier as an extension of our business and expect them to respect our business and growth opportunities as we respect theirs. We conduct business with all suppliers in a manner consistent with our Code and expect the same high standards from them.

We are committed to fair, transparent, and equitable relationships with our suppliers and expect reciprocity. As an integrity-committed organisation, we must engage in open, honest, and transparent conversations about cost, quality, and delivery.
